Users must agree to the terms and conditions in order to use the app and its services.
By creating an account or using our services, you certify that you are
Operating under your own name as a sole proprietor, self-employed individual, or employee of an independent business (such as a corporation, limited liability company, or other entity)
using our services only for business purposes; and
Complying with all applicable laws and regulations regarding your business or the business for which you are acting as a freelancer.
That you are at least 18 years old or a legal entity and can form legally binding contracts.
Users must create an account to access the app. They are responsible for maintaining the confidentiality of their account information. To access and use our services, you must first create an account with us ( an “account”). The term “users” and “site visitors” refers to registered and non registered users of Uactive,respectively. Registration of your account is subject to Uactive’s approval. For whatever valid reason, such as demand and supply,the expense of maintaining data or other business factor, we have a right to refuse registration for Uactive or to add an account of any kind
Users are responsible for providing accurate and up-to-date information and using the app in compliance with applicable laws and regulations.

Users should agree not to post or upload any content that violates intellectual property rights, contains illegal or offensive material, or violates the rights of other users.
ARBITRATION PROCESS, SCOPE, AND DISPUTE
If there is a disagreement between you and Uactive, we want to find a speedy, economical solution. Therefore, unless you expressly opt out, you, Uactive, and our Affiliates agree to settle any and all claims, disputes, or controversies that arise out of or relate to this Agreement, the other Terms of Service, your relationship with Uactive (including without limitation any claimed employment with Uactive or one of our Affiliates ), the termination of your relationship with Uactive, or the Services through binding arbitration on an individual basis.
This Arbitration Provision does not apply to claims that are not subject to predispute arbitration agreements or other generally applicable laws. A JURY TRIAL OR COURT TRIAL BEFORE A JUDGE IS EXPRESSLY WAIVED BY THE PARTIES BY AGREEMENT TO ARBITRATE DISPUTES UNDER THIS AGREEMENT. Instead, the parties want to have Claims settled by arbitration. In accordance with the Federal Arbitration Act ("FAA"), the arbitrator's ruling is final and enforceable against the parties.
Uactive and her administrators are not responsible for any damages or losses incurred by users, whether direct, indirect, or consequential.

Except as otherwise provided in this Agreement, neither you nor Uactive may terminate this Agreement except at any time and without cause by giving the other party written notice of such termination. If neither of us does so, the other Terms of Service will also terminate. You can contact info@uactive.net with a written notice. Your ability to use the Services is automatically terminated and your Account will be closed if you properly terminate this Agreement.
You agree that if you attempt to terminate this Agreement while having one or more open Projects, you thereby direct Uactive to close any open contracts
You agree to be bound by this Agreement and the other Terms of Service until all such Projects have closed on the Site and your access to the Site has been terminated
Uactive will continue to provide the Services necessary to complete any open transaction between you and another User
You agree to be responsible for any fees associated the project which is yet to be paid for as at time of such termination.
Without limiting Uactive's other rights or remedies, we may refuse to provide you with any or all Services if:
You violate any terms and conditions of this Agreement or any part of the Terms of Service
We have good faith grounds to believe that you have provided us with false or misleading information
We determine that your actions may expose you to legal liability. If you have a temporary or permanent restriction from Uactive,you are not permitted to re-register for a new Account or use the Site under the same Account after it has been temporarily or permanently cancelled without Uactive's prior written authorization. To the extent permitted by applicable legislation, we retain the right, if you attempt to use the Site under a different Account, to take back any money that are still in that Account and/or pay any sums owed by you using a Payment Method that is still active.
You understand and accept that the Site's worth, reputation, and goodwill depend on Users' Account status b eing transparent to all Users, including you and other Users with whom you have Service Contracts.
We both will be temporarily released from fulfilling our responsibilities under this Agreement in the event that certain events occur that are beyond either of our control.
The occurrence of labor unrest, accidents, fires, floods, pandemics, telecommunications or Internet outages, strikes, wars, riots, rebellions, terrorism, blockades, acts of government, governmental requirements and regulations, restrictions imposed by law, or any other similar event beyond the parties' reasonable control will not hold the parties to this
Agreement liable for any delay or failure to perform any obligation under this Agreement for a reasonable period of time.
If there are any discrepancies between the English language version and any translated versions, the English language version of the Terms of Service shall control in all respects and shall take precedence.
State that all intellectual property rights related to the app and its content belong to the app's administrators and are protected by applicable laws.
Modifications: Reserve the right to modify or update the terms and conditions at any time, with appropriate notice to users.
